Terms and Conditions

By subscribing to the design services offered by Design Limitless, you (“Client”) agree to be bound by these Terms and Conditions, which constitute a binding contract between you and Hyperlink Infosystem INC (“HI”), with its registered office at One World Trade Center, 285 Fulton Street suite 8500, New York, NY 10007, United States.

Subscription Period

The Subscription Period is 30 calendar days, starting from the date payment is received by HI or the day following the end of the previous Subscription Period. Subscriptions are billed monthly, and invoices for subsequent periods will be issued during the last five (5) business days of the current period. A new Subscription Period begins only upon full payment of the invoice and confirmation of payment in HI’s bank account.

Intellectual Property

The Client retains proprietary rights to all deliverables created by HI during the Subscription Period. However, proprietary rights to deliverables will only be recognized after all outstanding payments are settled.

Termination

The Client may terminate the subscription by sending an email to ___ with the subject line “Termination of Design Limitless Services” or through the website.

Confidentiality

HI will not disclose, use, or retain any of the Client’s financial, statistical, customer, personnel, or business data. HI will not utilize the Client’s nonpublic information for any purpose.

Payment and Refunds

All payments are non-refundable. Once payment is received by HI, no refunds will be issued, regardless of whether the Client continues or terminates the subscription before the end of the Subscription Period.

Liability and Indemnification

HI is not liable for any third-party claims arising from the Client’s employees, customers, or users. The Client agrees to indemnify and hold HI harmless from any such claims, including litigation costs. Both Parties agree to indemnify and defend each other against any claims arising from a breach of this Agreement.

Governing Law and Dispute Resolution

This Agreement is governed by the laws of Gujarat, India. Any disputes will be resolved through arbitration by a Sole Arbitrator under the Indian Arbitration and Conciliation Act, 1996. The arbitration will be conducted in English, with the seat and venue in Ahmedabad, Gujarat. Courts in Ahmedabad will have exclusive jurisdiction over arbitration-related matters.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, negotiations, or discussions. Any amendments must be in writing and signed by both Parties.

By accepting these Terms and Conditions, you acknowledge that you have read, understood, and agreed to all the terms outlined above.
